Argentina is one of the largest markets in Latin America in terms of economic relevance and business activity. However, its regulatory and foreign exchange framework requires careful planning before commencing operations.
Cost and types of incorporation
The most commonly used legal structures for foreign investors are the Limited Liability Company (SRL; Sociedad de Responsabilidad Limitada) and the Corporation (SA; Sociedad Anónima). An SRL is often chosen for mid-sized projects due to its simpler governance structure, while an SA may be more appropriate for larger operations or structures involving multiple shareholders and more formal corporate governance requirements.
The incorporation process typically takes between six and ten weeks, depending on the jurisdiction (for example, the City of Buenos Aires versus other provinces), the chosen corporate structure, and the completeness of the documentation. Setup costs generally range, on an indicative basis, between USD 2,500 and 4,000, depending on the complexity of the project and the professional services required.
Company formation process
The process generally includes the following steps:
- Corporate registration: registration before the competent authority; for example, the General Inspection of Justice (IGJ) in the City of Buenos Aires, or the relevant provincial registry.
- Tax identification number (CUIT): registration with the Federal Tax Authority (AFIP) to obtain the company’s tax identification number.
- Tax registration: enrollment in national, provincial, and municipal taxes applicable to the company’s activity.
- Labor and social security registration: registration with the relevant authorities if employees are hired.
- Municipal business license: obtaining the commercial license required by the local jurisdiction.
Operations and functioning
The company is considered fully operational once all required corporate and tax registrations have been completed, including the activation of electronic invoicing where applicable.
Additionally, it should be noted that Argentina maintains a regulated foreign exchange framework, which may involve specific requirements for transactions in foreign currency and international fund transfers.
Given the combination of corporate formalities, tax obligations, and foreign exchange regulations, proper coordination of the incorporation process is essential to ensure a compliant and efficient market entry.
