In Brazil, the incorporation of a local entity typically takes eight to twelve weeks, and, in certain cases, may extend further depending on the state and municipality where the company will operate. Setup costs generally range between USD 3,000 and 4,000, depending on the structure and operational scope.
The process involves several mandatory registrations at different governmental levels:
- Federal level: registration with the Federal Revenue Service (CNPJ), which grants the company its national tax identification number.
- State level: registration with the relevant State Tax Authority -especially if the company engages in goods trading or specific regulated activities.
- Municipal level: registration with the local municipality to obtain the business license and authorization to operate.
Only once the corresponding registrations are completed can the company be considered fully operational. Proper sequencing and coordination of these filings are essential to avoid delays.
Additional steps, which are mandatory for most operating companies in Brazil, may include:
