SALE OF SHELF COMPANIES

 

The purchase of companies is an ideal formula for those who need to have at their disposal a company already registered in the minimal amount of time, able to commence a particular business activity immediately.

AUXADI has at its disposal companies already set up and registered during 2007 in the Mercantile Registry. These companies have been completely inactive since their incorporation and are ready for the commencement of activity.

The companies in our portfolio are all limited liability, with addresses registered in our offices, have a sole member and have the minimum corporate capital required (3,006) Euros. Its management board is a sole administrator and the financial periods coincide with the calendar year. The corporate purpose is broad enough to cover the majority of the most common types of business activities.

The transfer process of the company from AUXADI to the client would be the following:

  • Granting of the public deed of the purchase of the company’s quotas. The price of the quotas will be the same as their nominal value, that is to say, 3,006 Euros which the buyer must hand over to the seller in the act of the transfer.
  • Granting of the deed of the loss of the sole member or change of the sole member.
  • Settlement of the corresponding tax corresponding to the purchase of the company.
  • Registering of the change of the sole member in the Mercantile Registry.
  • Communication to the tax authorities of the above changes as a consequence of its purchase.
  • Declaration of the start of activity.
  • Registering for the Economic Activity Tax.

Once the transfer of the shares has been formalized, AUXADI offers its clients the possibility of carrying out the statutory amendments which the client considers to be appropriate to adapt the recently acquired company to its requirements.

For this, the process would be the following:

  • Reservation of the company name in the Mercantile Registry (for name changes).
  • Drafting of the corporate documents for the statutory amendments.
  • Coordination for the notarization of the above amendments.
  • Registration in the Mercantile Registry of the deed of statutory amendments.
  • Communication to the tax authorities of the above changes as a consequence of the statutory amendments agreed.
